Installment Sale Agreement — Terms & Conditions
Deferred (Installment) Payment Sale — Sharia-Compliant, Interest-Free
Legal Agreement1 Nature of the Transaction
- This is a sale of goods on deferred payment terms, not a loan of money. No interest (riba) is charged. The Deferred (Total) Price already reflects the agreed markup for extending payment over time and does not change regardless of when installments are actually paid, except as provided under Clause 5 (Late Payment).
- Ownership of the item transfers to the Buyer only upon payment of the full Deferred Price, unless otherwise stated in Clause 2. Until then, the Seller retains a lien over the item as security for the unpaid balance.
2 Title and Risk
- Title (ownership) to the item shall remain with the Seller until the Buyer has paid the entire Deferred Price in full.
- Risk of loss, theft, or damage to the item passes to the Buyer upon delivery, and the Buyer remains liable for the full outstanding balance even if the item is lost, stolen, or damaged after delivery.
- The Buyer shall not sell, pledge, transfer, or otherwise encumber the item until full payment has been made and ownership has passed.
3 Payment Schedule
- The Balance Payable shall be paid in installments according to the schedule below. Payments should be made via bank transfer account/number provided by the Seller, and a receipt or transaction record shall be kept for every payment.
4 Device Security (Electronics / Mobile Phones)
- Where the item is a mobile phone or similar electronic device, the Seller may install a lock, tracking, or monitoring application on the device until the Deferred Price is paid in full. The Buyer consents to this as a condition of the deferred payment arrangement.
- The Seller shall remove any such lock or tracking application within 3 business days of receiving the final installment.
5 Late Payment
- If any installment is not paid within 7 days of its due date, the Buyer shall be considered in default of that installment.
- The Seller may charge a late administrative fee of 10% of the overdue installment amount, to cover actual costs of collection (this is a service/administrative charge, not interest).
- If the Buyer is in default for two (2) consecutive installments, the Seller may treat the full outstanding balance as due immediately and/or proceed under Clause 6 (Default and Repossession).
- All late payment service charges collected from customers will be deposited to reputable charity every month
6 Default and Repossession
- If the Buyer fails to cure a default within 15 days of written or verbal notice (including via phone/ WhatsApp), the Seller shall have the right to repossess the item.
- Upon repossession, the Seller shall calculate the fair resale value of the item and refund any surplus over the outstanding balance to the Buyer, after deducting reasonable repossession and resale costs. If the resale value is less than the outstanding balance, the Buyer remains liable for the shortfall.
- Amounts already paid by the Buyer up to the point of repossession are not automatically forfeited; they shall be adjusted against the outstanding balance and any shortfall/surplus settled as above.
7 Early Settlement
- The Buyer may pay the remaining balance in full at any time before the scheduled end date. The Seller may, at its discretion, offer a rebate for early settlement but is not obligated to do so, since the Deferred Price is a fixed sale price and not interest accruing over time.
8 Guarantor Liability
- If a Guarantor is named on this Agreement, the Guarantor jointly and severally guarantees payment of the full outstanding balance. If the Buyer defaults and fails to cure that default within the notice period stated in Clause 7, the Seller may demand payment of the remaining outstanding amount directly from the Guarantor, in addition to or instead of pursuing repossession from the Buyer.
- The Guarantor's liability is limited to the outstanding balance at the time of default and does not revive once fully paid or once the item is repossessed and the shortfall (if any) is settled.
9 Warranty
- The item is sold on an “as described” basis. Any manufacturer warranty applicable to the item shall pass through to the Buyer. The Seller's responsibility for product defects is limited to the terms of that manufacturer warranty, unless otherwise agreed in writing.
10 Governing Law and Disputes
- This Agreement shall be governed by the laws of Pakistan. Any dispute arising from this Agreement shall first be attempted to be resolved amicably between the Parties, and failing that, shall be subject to the jurisdiction of the courts at Lahore.
11 Entire Agreement
- This document, together with the completed Item Details and Payment Schedule above, constitutes the entire agreement between the Parties and supersedes any prior verbal or written understanding.
Important: Please read all terms carefully before submitting your installment application.
